Systems Limited has approved the acquisition of British American Tobacco SAA Services (Private) Limited from British American Tobacco International Holdings (UK) Limited, the company said in a filing to the Pakistan Stock Exchange (PSX) on Wednesday.

As part of the strategic move, SYS’s UAE-based associate — Techvista Systems FZ LLC — has simultaneously entered into a multiyear Master Services Agreement (MSA) with Accenture (UK) Limited to provide AI-powered Business Process Outsourcing (BPO) services as a sub-contractor through the soon-to-be-acquired BAT SAA Services.

The acquisition forms part of Systems Limited’s broader mergers and acquisitions strategy aimed at accelerating future growth and expanding global market reach. “This move is aligned with the company’s service line in BPO and will significantly enhance our global delivery capabilities,” the statement said.

According to AKD Securities, Systems Limited has over PKR 3.8 billion in cash and short-term investments to fund the transaction.

BAT SAA Services is engaged in providing IT-enabled shared and digital business services across various functions, including omnichannel customer service, marketing operations, HR, finance, procurement, and supply chain management. These offerings complement SYS’s existing BPO services portfolio.

SYS has signed a Share Purchase Agreement that outlines the terms and conditions of the acquisition, including the aggregate purchase price. However, completion of the deal remains contingent on fulfilling regulatory approvals and other conditions precedent.

The agreement with Accenture UK reflects SYS’s “AI-first” strategy, with the company aiming to integrate artificial intelligence capabilities across all business functions and transition toward delivering “AI as a Service”.

The acquisition and associated partnership with Accenture signal a major expansion for Systems Limited in the AI-enabled BPO landscape, strengthening its positioning in global tech-enabled services.
