SE Fruits had previously withdrawn its IPO application after SECP had requested further disclosures.
The Securities and Exchange Commission of Pakistan (SECP) has initiated an investigation into the accuracy and completeness of disclosures in the initial public offering (IPO) of SE Fruits and Vegetable Limited.
The inquiry will examine whether any gaps, omissions or negligence occurred in reporting information and determine where responsibility lies.
It will review the Pakistan Stock Exchange’s (PSX) role as a front-line regulator, the issue consultant’s due diligence and role in preparing the prospectus and certifying its accuracy, and the auditor’s audit of the company’s financial statements. The investigation will also examine the SECP’s internal procedures for reviewing and approving IPO applications.
The findings will guide improvements to the IPO review and approval framework, including measures to ensure adequate and accurate disclosures, proper discharge of duties by auditors and consultants, timely identification and reporting of material issues, and coordination between the PSX and SECP.
SECP Chairman Dr Kabir Sidhu said every IPO must meet clear standards of disclosure, transparency, scrutiny and accountability.
“We will act firmly where failures are established and use the inquiry's findings to close gaps in the IPO regime. Our objective is a rigorous and transparent approval process with adequate disclosures that protects investors and supports credible businesses seeking capital,” he said.
The SECP said the findings of the investigation will be made public.
